The goal of our M&A Buy Side Services is to achieve your strategic objectives through appropriate and successful corporate transactions. Together, we develop a comprehensive understanding of strategic business objectives, financial position, and market dynamics. Based on this valuable foundation, our experts identify potential acquisition targets and conduct a comprehensive evaluation to create a long and shortlist of suitable candidates. We ensure successful transaction completion by developing a sound negotiation strategy, shaping negotiation terms, and supporting the negotiation process with the target company.

As the initial starting point of the M&A strategy, we work together to develop your acquisition motivation by defining your strategic vision and goals, evaluating your current business model and key competencies. Furthermore, we assess potential for future strategic positioning and identify possible target segments. Finally, as part of the M&A strategy, we evaluate the impact of a potential acquisition on your current business model.

Based on the derived M&A strategy, we define relevant search criteria to create a long and shortlist of the most suitable target companies. We conduct screening of the identified target companies based on researched company information and accompanying market and trend analysis. Our experts evaluate selected target companies and assess their suitability for a potential acquisition based on all available information.

We approach selected target companies to assess their general willingness to sell. To achieve this, we establish efficient communication channels with relevant decision-makers and organize necessary management meetings.

Maximizing the value of sales transactions

Our M&A Sell Side Services aim to successfully manage the sales process, maximize the value of your assets, and achieve your strategic goals. Our experienced consultants provide a comprehensive approach throughout the entire transaction process, from „exit readiness“ to transaction preparation and sale. Our experts handle communication with potential investors, lead negotiations, and ensure a successful transfer of ownership. We work closely with our network of lawyers and auditors to ensure that all necessary requirements are met and relevant documents are prepared, allowing for a timely and efficient sale.

Together with you, we evaluate the strategic relevance of the asset for your company and answer the question of the „best owner“. In this context, we determine the best possible timing for a transaction as well as the appropriate transaction structure. Additionally, our experts establish the criteria for selecting possible buyer groups and define the target buyer audience.

We develop carve-out concepts to prepare and ensure the independent operational management of the asset. During the „Exit Readiness“ phase, our consultants create a compelling equity story that aligns with your business plan. Additionally, we develop a value creation plan that showcases the potential of the equity story and provides additional factors for valuing the asset.

In preparation for the investor process, we create the necessary transaction documents (teaser, management presentation, information memorandum). Additionally, we set up your data room with proven structures and all required documents. Furthermore, as part of the preparation, we derive a shortlist of potential investors and evaluate possible synergy potentials.

We approach selected investors and inform them about the transaction process. In this context, we organize and moderate desired management meetings and expert discussions. In addition, we establish a Q&A database that we manage.

We manage the process and all stakeholders involved across functions to ensure a smooth collaboration throughout the entire transaction process.
